Terms and Conditions
1. Services
1.1 Services and Service Areas. Picnic Makers provides luxury picnic, tablescaping, movie night, sleepover party, and related event services in Los Angeles, Malibu, Orange County, and other approved service areas. Service availability depends on the event location, date, accessibility, and requested services.
1.2 Styling and Item Substitutions. Our photos and examples represent the overall style of our experiences but do not guarantee identical décor, furniture, florals, tableware, colors, or accessories. Inventory may vary due to availability, seasonality, condition, event size, or operational needs.
We will make reasonable efforts to honor your selected theme and preferences; however, Picnic Makers may substitute items with comparable alternatives and make final styling decisions to maintain the quality and overall look of the setup.
Fully custom styling or event design may require additional planning and fees.
1.3 Event Time, Late Arrivals, and No-Shows. Your event begins and ends at the time selected during booking. Arriving late does not extend your reservation. We provide a 15-minute grace period. After the grace period, waiting fees may apply:
• 31–60 minutes late: $40
• 61–90 minutes late: $60
• 91+ minutes late: $80
If you have not arrived or contacted us within 90 minutes after the scheduled start time, Picnic Makers may consider the reservation a no-show and remove the setup. In that case, the event is considered fulfilled, and payments are nonrefundable and non-transferable.
Please notify us as soon as possible if you expect a delay so we can adjust accordingly.
1.4 Responsibility for the Setup. Once the event begins, the client is responsible for the setup and all Picnic Makers property until our team returns for pickup. Please do not leave the setup unattended. The client is responsible for loss, theft, misuse, or damage occurring during the reservation.
1.5 Location Permissions and Permits. Unless Picnic Makers expressly agrees in writing to obtain a permit or make venue arrangements, the client is responsible for confirming that the selected location permits the planned event and activities. If requested and available, Picnic Makers may assist with venue selection, permits, or location arrangements for an additional fee.
1.6 Guest Count Changes. You may update your guest count up to 72 hours before the event. After that deadline, reductions in guest count will not reduce the reservation price because décor, rentals, staffing, purchasing, and logistics may already have been finalized. Requests to add guests after the deadline are subject to availability and additional charges and are not guaranteed.
1.7 Add-Ons, Food, Florals, and Special Orders. Add-ons, décor, food, florals, and other optional services may generally be modified up to 24 hours before the event, subject to availability. However, once an item or service has been ordered, purchased, prepared, scheduled, reserved, or paid for specifically for your event, that cost becomes non-refundable and non-transferable, even if the standard modification deadline has not yet passed. This may include food, fruit, desserts, florals, custom décor, rentals, permits, staffing, labor, photography, entertainment, and third-party vendor services.
We will accommodate requests for additional items after the modification deadline when possible, and they may incur additional charges.
Photography and third-party vendor services may have separate cancellation and rescheduling terms as outlined in Section 5.
1.8 Right to Refuse, Stop, or Modify Service. Picnic Makers may refuse, stop, or modify service when reasonably necessary because of unsafe conditions, abusive or threatening conduct, illegal activity, failure to make required payment, materially inaccurate booking information, unsafe or inaccessible setup conditions, or circumstances that could endanger our clients, staff, vendors, or equipment.
1.9 Location Access and Setup Conditions. The client must provide complete and accurate information about the event location and access conditions, including the address, parking restrictions, stairs, elevators, gates, access codes, long walking distances, sand access, steep terrain, loading restrictions, or other conditions that may affect setup.
Parking fees, valet fees, entry fees, access fees, and similar charges are the client's responsibility unless otherwise agreed in writing.
If the actual access conditions are materially different from the information provided, Picnic Makers may:
• charge an additional setup, transportation, or labor fee;
• modify the setup;
• relocate the setup to a reasonably accessible area; or
• decline to complete the setup if access is unsafe or impractical.
Delays caused by inaccurate or incomplete location information do not extend the scheduled event time.
1.10 Accurate Information and Client Cooperation. The client is responsible for providing accurate booking information and responding to reasonable requests for information needed to prepare the event. Picnic Makers is not responsible for delays, changes, additional costs, or inability to provide part of the service resulting from inaccurate, incomplete, or late information provided by the client.
1.11 Guest Conduct and Child Supervision. The client is responsible for guests' conduct during the event. A responsible adult must supervise children at all times. Picnic Makers staff do not provide childcare or guest supervision.
2. Weather and Location
2.1 Weather and Environmental Conditions. Outdoor events are subject to changing weather and environmental conditions. Picnic Makers will determine whether conditions are reasonably safe and suitable for setup and service.
Conditions that may require a location change, setup modification, delay, or rescheduling include heavy rain, thunderstorms, strong winds, unsafe heat, poor air quality, high tides, flooding, beach hazards, government or lifeguard restrictions, and other conditions that may affect the safety of guests, staff, vendors, or equipment.
Cloudy skies, cool temperatures, light wind, or other ordinary weather conditions do not automatically qualify for complimentary rescheduling.
Unless Picnic Makers notifies you otherwise, your event remains scheduled as booked.
For safety reasons, Picnic Makers may remove, secure, substitute, or modify umbrellas, candles, signage, florals, lightweight décor, furniture, or other setup elements when weather or environmental conditions require it. Safety-related setup modifications do not qualify for a refund, credit, or complimentary reschedule.
Umbrellas are included with certain Picnic Makers setups but may be opened only when conditions allow safe use. In windy or otherwise unsafe conditions, umbrellas may remain closed, be lowered, secured, or removed at Picnic Makers' discretion. If weather or safety conditions prevent you from opening or using umbrellas, the reservation price does not decrease and does not qualify for a refund, credit, or complimentary reschedule.
2.2 Weather Decisions and Forecasts. Weather forecasts can change quickly. Picnic Makers may wait until closer to the event time to make a final weather determination when appropriate.
We cannot guarantee that a weather decision will be made a specific number of hours or days before the event. Conditions may also change after a decision has been made.
2.3 Client-Requested Weather Changes. If Picnic Makers determines that conditions are safe and suitable for the event, a client's decision to cancel or reschedule because of weather preferences, forecasts, or concerns will be treated as a standard client-requested cancellation or reschedule and is subject to the policies and fees in Section 5.
Complimentary weather rescheduling applies only when Picnic Makers determines that weather or environmental conditions require the event to be changed or rescheduled.
2.4 Proceeding Despite Weather Concerns. If Picnic Makers recommends changing the location or modifying the event because of weather or environmental conditions and the client chooses to proceed where Picnic Makers determines it is reasonably safe to do so, the client accepts that the experience may be affected by those conditions.
Weather-related discomfort, reduced setup elements, movement of décor, wind, temperature, sand, moisture, or similar effects resulting from the decision to proceed do not qualify for a refund, credit, or complimentary reschedule.
2.5 Safety Decisions. Picnic Makers may modify, relocate, delay, stop, cancel, or reschedule an event when we reasonably determine that weather, environmental conditions, location conditions, government restrictions, lifeguard instructions, or other safety concerns make the planned setup unsafe or impractical.
Picnic Makers makes the final determination regarding whether a setup can safely proceed.
2.6 Public Locations. Picnic Makers does not control parks, beaches, and other public spaces. We cannot guarantee privacy, exclusivity, parking availability, crowd levels, noise levels, cleanliness, access conditions, availability of a particular area, or that a specific spot will remain available.
Public locations may also be affected by closures, construction, maintenance, special events, tides, law enforcement, lifeguard instructions, permit restrictions, parking restrictions, or other circumstances outside our control.
2.7 Specific Location Requests. If you request a particular beach, park, area, or setup spot, we will make reasonable efforts to accommodate your preference; however, we do not guarantee a specific setup location.
Picnic Makers may select a nearby or reasonably comparable setup area when the requested location is unavailable, inaccessible, unsafe, restricted, overcrowded, affected by environmental conditions, or otherwise unsuitable for setup.
2.8 Location Changes. If the original location becomes unavailable or unsuitable for reasons outside Picnic Makers' control, we may move the setup to a nearby or reasonably comparable alternative location.
A reasonable location change does not cancel the reservation or entitle the client to a refund.
If no reasonable alternative location is available and Picnic Makers determines that the event cannot safely or reasonably proceed, we may offer rescheduling or credit in accordance with these Terms.
2.9 Natural and Outdoor Conditions. Outdoor environments naturally involve conditions such as sand, insects, wildlife, uneven ground, moisture, wind, temperature changes, ocean conditions, vegetation, and other environmental factors.
Picnic Makers cannot guarantee that an outdoor location will be free from these conditions. Ordinary natural or environmental conditions do not qualify for a refund, credit, or complimentary reschedule.
3. Payment
3.1 Deposit and Final Payment. To secure your booking, a 50% non-refundable deposit is required. The remaining balance must be paid in full before the experience begins. For picnics, you must pay before the scheduled start time. For indoor experiences, payment must be made before our team arrives to set up.
If we do not receive payment, Picnic Makers may delay or refuse to begin setup or provide service. Any delay caused by late payment does not extend the scheduled event time.
We accept payments via Stripe or PayPal, subject to a 3% card processing fee, or Zelle with no processing fee.
3.2 Non-Refundable Payments. All payments and deposits are non-refundable, except where otherwise expressly provided in these Terms.
Deposits and eligible payments may be transferred to a new event date only when rescheduling is permitted under Section 5. Any costs that are already non-refundable or non-transferable under these Terms remain so after rescheduling.
3.3 Sleepover Damage Deposit. A $100 refundable damage deposit is required for all sleepover parties and will be added to the final payment.
We refund the damage deposit within 1-3 days after pickup, subject to inspection of all rented items and setup materials. The time required for the refund to appear in the client's account may depend on the payment provider or financial institution.
The damage deposit may be applied toward reasonable costs resulting from loss, theft, damage, excessive staining, excessive cleaning, missing items, misuse, or other damage beyond normal wear and tear.
If the cost of cleaning, repair, replacement, or recovery exceeds the $100 damage deposit, the client remains responsible for the remaining balance. Picnic Makers may issue an invoice for any additional amount due.
A damaged item includes an item that is permanently stained, marked, ripped, broken, missing parts, difficult to restore to its original condition, or otherwise unsuitable for future use.
A detailed replacement price list is available upon request.
4. Identification and Verification
Picnic Makers may require the person who made the reservation, or an authorized representative, to present a valid government-issued photo ID before or at the time of service.
We may use the identification to verify that the reservation information is accurate and to help prevent fraud, unauthorized bookings, or misrepresentation.
If we cannot reasonably verify the identity of the client or an authorized representative when required, Picnic Makers may delay or refuse service until the reservation can be verified. Any resulting delay does not extend the scheduled event time.
5. Rescheduling, Cancellation & Refunds
5.1 Complimentary Rescheduling. A reservation may be rescheduled once at no additional rescheduling fee if the request is received at least 72 hours before the scheduled event.
The new event date must take place within 3 months of the original event date and is subject to availability.
If the rescheduled event involves a different location, guest count, package, add-ons, services, vendor costs, or other pricing differences, the client is responsible for any additional charges.
5.2 Rescheduling Within 72 Hours. Requests to reschedule received less than 72 hours before the scheduled event are subject to a $150 rescheduling fee.
Any non-recoverable costs already incurred for the original event are non-refundable and non-transferable. These may include food, fruit, desserts, florals, custom items, rentals, permits, staffing, labor, preparation, photography, entertainment, or third-party vendor costs.
If additional costs are required to provide the same items or services on the new event date, those costs will be charged separately.
5.3 Last-Minute Bookings. Reservations booked within 72 hours of the scheduled event are considered last-minute bookings and are not eligible for complimentary rescheduling.
Rescheduling a last-minute booking is subject to the $150 rescheduling fee. If the client cancels instead, payments remain non-refundable under Section 5.5, and the client remains responsible for applicable non-recoverable costs.
If additional costs are required to recreate any food, florals, décor, staffing, vendor services, rentals, or other items for the new event date, those costs will be charged separately.
5.4 Additional Reschedules. Only one complimentary reschedule is permitted.
Any additional reschedule is subject to availability and Picnic Makers' approval and will incur a $150 rescheduling fee, plus any additional costs resulting from the change.
A previously rescheduled event remains subject to all current pricing, availability, location, vendor, and service requirements applicable to the new date.
5.5 Cancellations and Refunds. Except where otherwise expressly provided in these Terms, payments and deposits are non-refundable when the client cancels the event, decides not to proceed, changes their mind, or is unable to attend.
A cancellation does not eliminate the client's responsibility for any non-recoverable costs already incurred or amounts due for third-party vendors, photography, custom items, food, florals, staffing, labor, rentals, permits, or other services specifically committed to the reservation.
Weather-related changes are governed by Section 2 of these Terms.
5.6 How to Request a Change. For day-of coordination, please contact Picnic Makers by text or phone.
Requests involving rescheduling, cancellation, refunds, credits, or other policy-related changes must be submitted by email or text so that there is a written record of the request.
A request is not considered approved until Picnic Makers confirms the change in writing.
5.7 Photography and Third-Party Vendor Services. Once a photographer or third-party vendor is confirmed for your event, their date and time are reserved specifically for your booking.
Photography bookings may be rescheduled without an additional photography fee only when the change is requested more than 14 days before the event date and the photographer is available for the new date.
If the event is canceled or rescheduled less than 14 days before the event date, the photography fee becomes non-refundable and non-transferable. The original photography booking will be considered lost, and a new photography fee will be required if photography is requested for the new event date.
If the photography fee has not yet been paid in full, the client remains responsible for the full photography fee for any cancellation or reschedule made less than 14 days before the event.
Other third-party vendors may have separate cancellation, rescheduling, deposit, or minimum-notice requirements. The client is responsible for any non-refundable or non-transferable vendor costs resulting from a cancellation or reschedule.
This section applies only to the photography or third-party vendor portion of the reservation. The remaining portion of the reservation remains subject to the standard rescheduling and cancellation terms above.
6. Equipment and Use of Property
6.1 Safe Use of Equipment. All furniture, décor, tableware, accessories, and other equipment provided by Picnic Makers must be used only for their intended purpose.
Do not sit, stand, climb, or lean on tables, décor, display structures, or other items that are not designed to support a person's weight.
6.2 Responsibility During the Event. Picnic Makers equipment remains the property of Picnic Makers at all times. The client is responsible for the reasonable care and protection of all equipment and items provided during the reservation period.
Items must not be removed from the event area, given to third parties, intentionally damaged, or used in a way that could reasonably cause damage, loss, or a safety hazard.
Loss, theft, damage, misuse, or excessive cleaning requirements may result in additional charges as described in Section 7.
6.3 Candles and Open Flames. Candles provided as part of the setup are for decorative purposes only unless Picnic Makers expressly confirms otherwise.
Do not light decorative candles or introduce open flames into the setup without prior approval from Picnic Makers. This includes candles, torches, fire pits, sparklers, or similar items that may create a fire or safety risk.
6.4 Moving or Altering the Setup. Please do not move tables, umbrellas, furniture, large décor pieces, equipment, or other major setup elements without Picnic Makers' approval.
Moving, rearranging, disassembling, attaching items to, or otherwise altering Picnic Makers equipment may create safety risks or cause damage.
If an item needs to be moved for safety or comfort, please contact our team when reasonably possible.
6.5 Outdoor Equipment and Weather. Certain equipment may need to be secured, lowered, removed, closed, or otherwise modified because of wind, weather, ground conditions, or other safety concerns.
Clients and guests should follow reasonable safety instructions provided by Picnic Makers regarding the use of umbrellas, furniture, décor, or other equipment.
6.6 Sleepover Equipment. Sleepover tents, bedding, décor, lighting, trays, and related items are rental property and must remain at the event location until collected by Picnic Makers unless otherwise agreed in writing.
Sleepover equipment must not be moved outdoors, exposed to moisture, used for purposes other than the intended sleepover setup, or altered without Picnic Makers' approval.
6.7 Equipment Pickup and Return.
All Picnic Makers equipment, furniture, décor, tableware, accessories, and rental property must be available for our team to collect at the agreed pickup time or at the end of the scheduled reservation period.
For events at private residences, indoor venues, gated properties, or other locations requiring client access, the client is responsible for ensuring that Picnic Makers has reasonable access to retrieve its property at the scheduled pickup time.
A complaint, refund request, cancellation request, payment dispute, chargeback, or other disagreement does not give the client or any guest the right to retain, withhold, conceal, relocate, lock away, or prevent Picnic Makers from retrieving its property.
If the client or another person prevents or unreasonably delays the return or retrieval of Picnic Makers property, the client may be responsible for reasonable additional costs resulting from the failed or delayed pickup, including additional labor, transportation, parking, recovery, replacement, or other documented costs.
Picnic Makers retains ownership of its property at all times and may pursue available lawful remedies to recover property that is not returned or made available for collection.
7. Damage, Loss, and Cleaning
7.1 Responsibility for Damage and Loss. The client is responsible for loss, theft, damage, misuse, or excessive soiling of Picnic Makers property occurring during the reservation, including damage caused by the client, guests, children, pets, or other persons attending the event.
Normal wear and tear from proper use is not billable.
7.2 Condition Documentation. Picnic Makers may photograph or record the setup, equipment, and event area before setup completion, during the event when reasonably necessary, and at pickup to document condition, inventory, proper setup completion, and any damage, loss, or other issues.
These records may be used for quality assurance, internal documentation, insurance purposes, and the investigation or resolution of complaints, claims, payment disputes, or chargebacks.
7.3 Repair, Replacement, and Cleaning Charges. If Picnic Makers property is damaged, lost, stolen, excessively stained, excessively soiled, or otherwise returned in a condition beyond normal wear and tear, the client may be charged the reasonable cost of:
• professional or specialized cleaning;
• repair;
• replacement;
• missing parts or accessories;
• recovery of missing property;
• additional pickup attempts or recovery trips caused by the client's failure or refusal to provide access; or
• other reasonable costs required to restore or replace the affected item.
When repair is reasonably possible, Picnic Makers may charge the repair cost instead of full replacement. If an item cannot reasonably be repaired or restored for future use, the client may be charged the reasonable replacement cost.
7.4 Additional Charges and Invoices. Damage deposits, where applicable, may be applied toward amounts owed under this section but do not limit the client's responsibility for costs exceeding the deposit amount.
If additional amounts are due, Picnic Makers may provide an invoice describing the applicable damage, loss, cleaning, repair, or replacement charges. Payment of any additional balance is due within 7 days of the invoice unless otherwise stated in writing.
7.5 Reporting Problems. If an item is damaged, lost, or involved in an incident during the event, please notify Picnic Makers as soon as reasonably possible. Prompt notice may help prevent additional damage or costs.
8. Photography, Documentation, and Marketing
8.1 Setup Documentation. Picnic Makers may photograph or record the setup, equipment, décor, event area, and completed installation before, during, or after the event.
Picnic Makers may use these photos or recordings for quality assurance, proof of setup and service completion, inventory and condition documentation, staff or vendor accountability, internal training, insurance purposes, and the investigation or resolution of complaints, claims, payment disputes, chargebacks, or other disagreements.
Picnic Makers will make reasonable efforts to focus operational documentation on the setup, equipment, and relevant event area and not intentionally photograph unrelated private areas, personal documents, or sensitive personal information.
By booking with Picnic Makers and accepting these Terms, the client acknowledges and agrees that we may create and retain this operational documentation as part of our standard service procedures.
8.2 Marketing and Portfolio Use. Picnic Makers may use photographs or videos of our setups, décor, food, styling, equipment, and event locations for our portfolio, website, social media, advertising, promotional materials, and other business marketing purposes.
This may include content captured before guests arrive, after guests leave, or during the event when the focus is primarily on the setup or services provided by Picnic Makers.
8.3 Guests and Identifiable Individuals. By booking with Picnic Makers and accepting these Terms, the client grants Picnic Makers permission to use photographs and videos from the event that include the client for our portfolio, website, social media, advertising, promotional materials, and other business marketing purposes, unless the client opts out in writing before the event.
8.4 Opting Out of Marketing Use. If the client does not want photographs or videos that identify the client to be used for public-facing marketing, the client must notify Picnic Makers in writing before the event.
An opt-out request applies only to public-facing marketing use. It does not prevent Picnic Makers from photographing or recording the setup, equipment, event area, or circumstances reasonably necessary for quality assurance, proof of service, inventory and condition documentation, safety, insurance, internal records, complaints, claims, chargebacks, or dispute resolution.
9. Food, Allergies, and Dietary Requirements
9.1 Food and Beverage Services. Picnic Makers or third-party vendors may prepare, purchase, deliver, or supply food, desserts, beverages, catering, and other consumable items.
Availability, ingredients, presentation, portion size, and substitutions may vary depending on the selected item, vendor availability, seasonality, and other operational factors.
9.2 Food Allergies and Dietary Restrictions. The client is responsible for notifying Picnic Makers in writing of any known food allergies, dietary restrictions, or special food requirements before ordering or purchasing food for the event.
We will make reasonable efforts to communicate disclosed dietary requirements to applicable vendors; however, Picnic Makers cannot guarantee an allergen-free environment or that food has not come into contact with common allergens.
Food may be prepared in facilities that also handle ingredients such as nuts, peanuts, dairy, eggs, wheat, soy, sesame, seafood, or other allergens.
9.3 Third-Party Food Vendors. Independent third-party vendors may provide certain food or catering services. Picnic Makers may assist with arranging or coordinating these services, but the preparation, ingredients, packaging, and handling of food supplied by a third-party vendor remain subject to that vendor's practices and policies.
Clients with serious allergies or specific dietary requirements should confirm ingredient and allergen information before consuming food.
9.4 Food Handling During the Event. Once food has been delivered or placed at the event, the client is responsible for appropriate handling and consumption during the reservation.
Perishable food should be consumed promptly and should not be left unrefrigerated or exposed to outdoor conditions longer than is reasonably safe.
Picnic Makers is not responsible for deterioration, contamination, spoilage, or other food-quality issues resulting from food being left outdoors, unrefrigerated, improperly stored, transported by the client, or consumed after the event.
9.5 Client and Guest Responsibility. The client is responsible for communicating relevant allergy or dietary information to their guests and for determining whether particular food or beverages are appropriate for themselves or their guests.
Guests should not consume any item if they are uncertain about its ingredients or suitability for their dietary or allergy requirements.
10. Alcohol
10.1 Alcohol Responsibility. Unless Picnic Makers expressly agrees otherwise in writing, Picnic Makers does not sell, provide, serve, or supervise the consumption of alcoholic beverages.
Any alcohol brought to or consumed at the event is the responsibility of the client and their guests.
10.2 Legal Compliance. The client is responsible for confirming that alcohol is permitted at the selected location and for complying with all applicable laws, regulations, permit requirements, venue rules, park rules, beach rules, and posted restrictions.
The client is also responsible for ensuring that alcohol is not provided to or consumed by anyone who is not legally permitted to consume it.
10.3 Guest Conduct and Safety. The client is responsible for the conduct of guests who consume alcohol and for ensuring that alcohol consumption does not create unsafe, disruptive, illegal, or damaging conditions.
If alcohol-related conduct creates a safety concern, damages property, interferes with our staff or vendors, violates location rules, or otherwise makes it unreasonable to continue service, Picnic Makers may modify or stop service in accordance with Section 1.8.
10.4 Alcohol-Related Incidents. Picnic Makers is not responsible for consequences resulting from alcohol that is brought, provided, served, or consumed by the client or guests, including violations of location rules, fines, removal from a public location, or conduct arising from alcohol consumption, except to the extent responsibility cannot legally be excluded.
11. Liability and Force Majeure
11.1 Outdoor and Event Risks. The client acknowledges that outdoor events, public locations, rentals, décor, food service, and event activities may involve ordinary risks, including uneven ground, sand, wind, weather, insects, wildlife, heat, moisture, public activity, and other environmental or location-related conditions.
Clients and guests must use reasonable care, follow posted rules, and comply with safety instructions provided by Picnic Makers, venue staff, lifeguards, park personnel, or other authorities.
11.2 Client and Guest Responsibility. The client is responsible for the conduct and actions of their guests and for ensuring that Picnic Makers property and equipment are used appropriately.
Picnic Makers is not responsible for injury, loss, damage, fines, penalties, or other consequences resulting from:
• the conduct or actions of the client or guests;
• failure to follow reasonable safety instructions;
• misuse, movement, alteration, or unauthorized use of Picnic Makers equipment;
• alcohol or other substances brought to or consumed at the event;
• client-provided food, beverages, equipment, décor, or other items;
• inaccurate or incomplete information provided by the client; or
• violations of venue, park, beach, permit, or local rules by the client or guests.
11.3 Public Locations and Third Parties. Picnic Makers is not responsible for the actions or omissions of unrelated third parties or for circumstances outside our reasonable control at parks, beaches, venues, or other event locations.
This may include theft, interference by members of the public, law enforcement or lifeguard actions, closures, construction, crowd activity, parking conditions, neighboring events, or other conditions described in Section 2.
Clients are responsible for their own personal belongings. Picnic Makers is not responsible for personal property that is lost, stolen, damaged, or left behind during an event, except to the extent responsibility cannot legally be excluded.
11.4 Limitation of Liability. To the fullest extent permitted by law, Picnic Makers is not responsible for indirect, incidental, consequential, or special losses arising from an event, cancellation, location issue, delay, weather condition, or interruption of service.
Nothing in these Terms excludes or limits liability where such liability cannot legally be excluded or limited.
11.5 Indemnification. To the fullest extent permitted by law, the client agrees to indemnify and hold Picnic Makers harmless from third-party claims, damages, losses, fines, costs, or liabilities arising from:
• the client's or guests' conduct;
• the client's breach of these Terms;
• damage to property caused by the client or guests;
• illegal or unauthorized activity at the event;
• alcohol or substances brought to or consumed at the event;
• failure to obtain permits or permissions that are the client's responsibility; or
• misuse of Picnic Makers equipment or services.
This provision does not apply to the extent a claim results from conduct for which Picnic Makers cannot lawfully disclaim responsibility.
11.6 Force Majeure and Events Beyond Our Control. Picnic Makers is not responsible for delay, interruption, modification, or inability to perform services caused by circumstances beyond our reasonable control.
These circumstances may include severe weather, natural disasters, wildfires, earthquakes, flooding, government restrictions, emergency orders, public safety incidents, road or location closures, utility failures, labor disruptions, civil disturbances, or other emergencies or events we could not reasonably prevent.
When such circumstances prevent the event from proceeding as planned, Picnic Makers may modify the service, change the location, reschedule the event, or offer credit when reasonably possible and subject to availability.
A force majeure event does not automatically entitle the client to a cash refund. Any non-recoverable costs already incurred for food, florals, staffing, rentals, permits, vendors, custom items, or other event-specific expenses remain non-refundable and non-transferable unless Picnic Makers agrees otherwise in writing.
12. Agreement
12.1 Acceptance of Terms. By submitting a reservation, making a deposit or other payment, or otherwise confirming a booking with Picnic Makers, the client acknowledges that they have read, understood, and agree to these Terms and Conditions.
These Terms form part of the agreement between the client and Picnic Makers for the services included in the reservation.
12.2 Responsibility for Guests. The person making the reservation is responsible for communicating any relevant event rules, safety requirements, and restrictions in these Terms to their guests.
The client's responsibilities under these Terms also apply to actions of guests where specifically stated in these Terms.
12.3 Booking on Behalf of Another Person. If a reservation is made on behalf of another person, company, or organization, the person making the reservation confirms that they are authorized to make the booking and agree to these Terms on behalf of the responsible booking party.
12.4 Electronic Acceptance. Electronic acceptance of these Terms, including acceptance through an online booking form, checkbox, payment page, email confirmation, or other electronic method, has the same effect as accepting them in writing.
13. Modifications
13.1 Updates to These Terms. Picnic Makers may update or revise these Terms and Conditions from time to time to reflect changes in our services, policies, pricing, operational practices, or legal requirements.
Unless otherwise required by law or expressly agreed in writing, updates to these Terms apply only to reservations made on or after the effective date of the revised Terms.
13.2 Terms Applicable to Existing Reservations. A reservation will generally remain subject to the version of the Terms and Conditions in effect when the reservation was made.
If Picnic Makers and the client later agree in writing to a material change to the reservation, reschedule, or other modification, any additional terms specifically agreed to in writing will apply to that change.
13.3 Current Version. The most current version of these Terms and Conditions will be available on the Picnic Makers website.
The “Last Updated” date shown below identifies the effective date of the current version.
